In celebration of the most wonderful time of the year, we are giving away Tasteful Holiday Breakfast Sweaters!

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED. THIS SWEEPSTAKES IS NOT AN OFFER TO SELL ANY PRODUCT OR SERVICE.

By entering the 2025 First Watch Holiday Sweater Giveaway (“Sweepstakes”), you agree to be bound by these Official Rules and the decisions of First Watch Restaurants, Inc. (“Sponsor”), which are final and binding.

This Sweepstakes uses Instagram and Facebook as entry methods. It is not sponsored, endorsed, administered by, or associated with Meta Platforms, Inc. (“Meta”). All Meta logos and trademarks displayed in this Sweepstakes are property of Meta. Any questions regarding the Sweepstakes must be directed to Sponsor, not Meta. In the event that there is a conflict between these Official Rules and the Instagram terms of service or other applicable Instagram terms, these Official Rules shall govern.

If you do not agree to these Official Rules or Sponsor’s Privacy Notice at https://www.firstwatch.com/privacy-notice/, do not enter. Personal information collected as part of this Sweepstakes will only be used for the administration of the Sweepstakes and in accordance with Sponsor’s Privacy Notice. Sponsor may also collect and use non-personally identifiable, aggregate data submitted in connection with the Sweepstakes for internal analytics.

  1. Eligibility. The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry (or nineteen (19) years old for residents of Alabama).  Employees of Sponsor, its parents, subsidiaries, affiliates, advertising and promotion agencies, and their immediate family members (spouse, parents, siblings, and children), and persons living in the same household, are not eligible. Void where prohibited.
  2. Sponsor.  Sponsor and its respective affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and any entity involved in the development, production, implementation, administration, or fulfillment of the Sweepstakes  (collectively, “Released Parties”) are not eligible to participate. Sponsor will conduct the Sweepstakes substantially as described in these Official Rules.   3. Entry Period. The Sweepstakes begins at 12:01 a.m. Eastern Standard Time (“EST”) on December 1, 2025, and ends at 11:59 p.m. EST on December 8, 2025 (“Entry Period”).
  4. How to Enter.
    1. Website Entry.  Visit firstwatch.com/holiday-sweater-giveaway during the Entry Period and submit the required information, including your email address. A link to the entry page will appear in the @firstwatch Instagram profile bio beginning December 1, 2025.
    1. Alternate Method of Entry (“AMOE”).  To enter without using Instagram or Facebook, mail a postcard containing your full name, mailing address, email address, and phone number to: First Watch Holiday Sweater Giveaway – AMOE, 8725 Pendery Place, Suite 201,
      Bradenton, FL 34201.  Postcards must be postmarked by December 8, 2025, and received by December 12, 2025.
    1. Entry Conditions:
      1. Limit one (1) Entry per person, regardless of method, plus one (1) bonus entry for liking and sharing the specified Instagram Reel (if applicable).
      1. Automated, bulk, or third-party submissions are prohibited.
      1. Sponsor may disqualify any Entry that is incomplete, inaccurate, or violates these Official Rules.
      1. Sponsor may, but is not obligated to, monitor Entries.
      1. You understand you are providing your information to Sponsor, not to Meta. 
      1. Entries that are incomplete, garbled, or corrupted are void and will not be accepted.
      1. Any social media account used to enter must be an authentic account registered to the Participant and may not impersonate any other person or contain offensive, illegal, or infringing content.
  5. Prize. There are a total of [NUMBER] prizes available in this Sweepstakes. Each prize consists of one (1) First Watch Holiday Breakfast Sweater (ARV per sweater: $50.00). Total ARV of all prizes: $500.  Prizes are non-transferable. Sponsor may substitute a prize of equal or greater value if the stated prize becomes unavailable for reasons beyond its reasonable control. Actual prize value may vary; any difference will not be awarded. Prize style, size, and color are subject to availability and may vary from promotional images. Sponsor is not responsible for sizing issues or for the winner’s failure to select a preferred size before shipment, if applicable. Limit one (1) prize per person.
  6. Odds. Odds of winning depend on the total number of eligible Entries received.
  7. Winner Selection.  Ten (10) potential winners will be selected in a random drawing conducted by Sponsor on or about December 8, 2025, from all eligible Entries. If a potential winner is at least 18 but still considered a minor in their state of residence, the Prize may be awarded in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on finalists set forth herein. Sponsor may disqualify any potential winner who: (i)  violates these Official Rules, (ii) is ineligible, or (iii) fails or refuses to provide required documentation.  Alternate winners may be selected.  

A potential Winner may be requested to provide Sponsor with proof that the potential Winner is the authorized account holder of the Instagram account associated with the winning Entry. If, in Sponsor’s sole determination, a dispute cannot be resolved, the Entry will be deemed ineligible.

You expressly waive the protections of Section 1542 of the California Civil Code and any similar law of any jurisdiction.

  1. Conduct. Sponsor may disqualify any individual who tampers with the Sweepstakes, acts in an unsportsmanlike or disruptive manner, or attempts to undermine the legitimate operation of the Sweepstakes. Any such attempt may violate criminal or civil laws, and Sponsor reserves all rights at law or in equity arising therefrom.
  2. Binding Arbitration. PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or related to this Sweepstakes, these Official Rules, or the prize (“Dispute”) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration Terms:
  3. Arbitration shall be conducted on an individual basis only.
  4. Class, collective, representative, or mass actions are not permitted.
  5. The arbitrator may award individualized relief only.
  6. Arbitration may be conducted via telephone, video, or written submissions.
  7. If an in-person hearing is required, it will occur in Manatee County, Florida, unless both parties agree otherwise.
  8. Sponsor will pay AAA filing and administrative fees for claims up to $10,000, unless the arbitrator finds the claim frivolous.
  9. The arbitrator has exclusive authority to determine arbitrability and the scope of this arbitration agreement.
  10. The arbitrator shall have the authority to award the same damages and relief that a court of competent jurisdiction would be authorized to award, subject to the limitations in these Official Rules.

If this arbitration agreement is found unenforceable, any Dispute shall be resolved exclusively in the state or federal courts located in Florida, and you consent to jurisdiction and venue in those courts. Either party may seek temporary or preliminary injunctive relief in court to preserve the status quo pending arbitration.

  1. Class Action Waiver; Jury Trial Waiver.  To the fullest extent permitted by law, you agree not to participate in a class action, class arbitration, representative action, or joint litigation against Sponsor. To the fullest extent permitted by law, you and Sponsor waive any right to a jury trial in any proceeding relating to enforcement of the arbitration terms or any Dispute that proceeds in court.
  2. General Conditions. Sponsor may cancel, suspend, or modify the Sweepstakes if it cannot operate as planned due to fraud, technical issues, or a force majeure event (including severe weather, fire, labor disputes, war, terrorism, epidemics, government orders, or other events beyond its control).These Official Rules are governed by Florida law without regard to conflict-of-law principles. All federal, state, and local laws and regulations apply. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of the Sponsor and may be changed from time to time without notice if it cannot be conducted as planned or as otherwise permitted in these Official Rules. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Participants. Sponsor reserves the right to waive the entry requirements set forth herein in its reasonable discretion.
  3. Not an Offer to Sell. Participation in this Sweepstakes is voluntary and does not constitute a contract, offer, or solicitation to buy any product or service. No purchase or payment is required and will not increase your chances of winning.
  4. Severability.  If any provision of these Official Rules is held unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
  5. LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR PLATFORM ASSOCIATED WITH THE SWEEPSTAKES OR OTHERWISE INTERFERE WITH SWEEPSTAKES OPERATIONS MAY VIOLATE CRIMINAL AND CIVIL LAWS. SPONSOR RESERVES ALL RIGHTS TO SEEK DAMAGES AND PURSUE ALL AVAILABLE REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW.
  6. Entire Agreement; No Waiver. These Official Rules constitute the entire agreement between you and Sponsor regarding the Sweepstakes and supersede any prior or contemporaneous communications. Sponsor’s failure to enforce any provision shall not be considered a waiver of that or any other provision.
